All members of Boards of Directors need to follow a series of statutory law, common law and regulatory requirements designed to meet corporate governance standards and expectations of stakeholders – including regulators and the wider public. This includes duties to the corporation, the avoidance of conflict of interest, and the need to display high levels of skill, care and diligence when acting in good faith to promote the success of the company.
Serving on a Board of Directors exposes individual members to joint and individual legal liabilities, not to mention reputational risk. As a result, anybody currently or potentially serving on – or supporting or reporting to – a Board of Directors needs to become familiar with the legal and regulatory context within which they do so.
By joining this half day seminar all pertinent questions will be answered, and participants will also have the chance to mingle and discuss with other Directors in the sector.
Who Should Attend
Petros Florides is an honours graduate and qualified member of four professional bodies with over 25 years financial services experience in areas of private banking, fund management, stockbroking, private equity, proprietary trading and microfinance. He is currently employed by World Vision International as Director of Global Governance for the regions of Europe, Middle East and Asia. Petros has published numerous articles on governance and related areas, and was the lead author of the Code for Public Sector Governance which, after five years of public consultation, was approved by the Cyprus Council of Ministers in July 2019 for implementation. He is also a Non-Executive Director of Windsor Brokers, NetU Consultants, Cyprowealth Advisory Services and Pearlscope.
Petros is Co-Founder of the Cyprus National Advisory Council for the Chartered Institute for Securities & Investments (‘CISI’), and has also served on its UK Board of Trustees since June 2019. He is also accredited in two different methods of psychometric testing, and integrates an understanding of human behaviour in his teaching of professional and executive courses in the areas of governance, risk, leadership and ethics through CISI Accredited Training Providers. Petros is also a regular speaker at public events on the same subjects.
Demetris Nicolaou is Executive Director and Head of Portfolio Management at Hanseatic Capital Management Ltd. He previously worked for Alpha Bank Limited as the Head of Asset Management and as the Co-Portfolio Manager for Emerging Markets Management LLC in the USA. Demetris holds a Bachelor’s degree in Finance & Economics and an MBA in International Finance, both from the American University Kogod School of Business. He is a CFA Charterholder and a holder of the Certificate in Company Direction by the U.K. Institute of Directors. He is also a Certified Trainer by the HRDA and a holder of CySEC’s Advanced Certification.
Critical information will be conveyed, with the opportunity for participants to share their experience of serving on – or supporting – Boards for mutual erudition.
