The Institute of Directors (IoD) is a business organisation for company directors, senior business leaders and entrepreneurs. It is the longest running organisation for professional leaders, having been founded in 1903 and incorporated by Royal Charter (UK) in 1906. Examination Information
Flexible examination dates are available throughout the year and are offered via remote invigilation using a computer-based testing system which can be used on your home or work computer.
The Certificate in Company Direction is composed of four separate modular exams:
The exams can be taken in any order, all at once or month by month. Candidates will be awarded the Certificate in Company Direction once all four modular exams have been successfully completed.
Each modular exam is 45 minutes in duration and composed of 16 multiple-choice questions drawn from a randomised question bank. Twelve of these are one-mark and four are two-mark questions, with varying degrees of difficulty.

Tim is an experienced business consultant with more than 25 years in advising leading organisations on strategy, marketing, innovation and change management. Tim began his career in international brand management and marketing with Unilever in the UK and France, followed by ten years in the growth and successful sale of New Solutions, a strategic marketing consultancy. Since 2004, Tim founded and is now Managing Partner of April Strategy, a boutique management consultancy of 20 people, working across the globe on strategy and change management challenges. As a member of, and advisor to, the IoD, he helped design and also experienced the benefits of what the IoD offers. The first benefit is the membership base; a network of like-minded but diverse individuals with whom one can share ideas and create new connections. The second benefit is the quality of professional development, helping directors to be more successful by providing essential knowledge, know-how and practical guidance.
Steve Giles is a chartered accountant with over 25 years’ experience of advising directors and managers on business issues concerning governance, risk and compliance. Whilst at Deloitte, he worked on a number of high profile assignments including managing the Polly Peck investigation. After leaving Deloitte, Steve has set up and run two companies and has worked in many countries to achieve successful outcomes for his clients with a variety of business issues, including weak board performance, poor risk management, cultural issues, corporate fraud and reputational damage. He specialises in working with directors and senior executives to improve performance.
Sheelagh is a corporate governance specialist advising clients on best practice governance and providing independent board evaluation services. Before setting up her own business Sheelagh held senior executive roles within the corporate departments of Scottish Power plc; Scottish Television plc and The Miller Group Limited at times when these businesses were delivering extensive strategic and organisational change. Sheelagh is a non-executive director with The National Theatre of Scotland and a member of its Finance Committee. She is also a non-executive director with Cricket Scotland where she Chairs the Risk Committee. She was a Trustee Director with Capability Scotland for five years.
Yanos has 25 years international business experience in a variety of roles across the EMEA region in both the private and public sectors, especially in energy, infrastructure and private equity. He has managed large P&Ls, has been a member of regional and global leadership teams of large corporates and has managed large, distributed teams across countries and cultures. He is currently active as a business advisor and management consultant in the areas of strategy development and implementation, value creation, international expansion, M&A and change management.
