Under the provisions of Cap. 113, the company secretary is an officer of the Company. A secretary’s signature is sometimes valid as an alternative to a director’s signature. A company secretary needs to take great care before executing any document. If in doubt, the company secretary should make appropriate enquiries before the document is signed. The Secretary is the Chief Administrative Officer of a Cyprus company, and as such it is in the best interest of the company to ensure that the person they appoint as company Secretary, is able to carry out the duties which the Law entails.
The secretary executes documents on the instructions of the board of directors, for example, notices for company meetings. The secretary is also responsible for drafting the agenda of the meetings, ensure that meetings follow the procedures of the Law, drafting the minutes of the meetings, maintain the statutory registers and file Forms and true copies of Resolutions with the Registrar of Companies.
This Seminar aims to align participants with the basic duties of the secretary of a Cyprus company and the documents which must be kept for every procedure within the duties of the company secretary.
