Course Overview
All members of Boards of Directors need to follow a series of statutory law, common law and regulatory requirements designed to meet corporate governance standards and expectations of stakeholders – including regulators and the wider public. This includes duties to the corporation, the avoidance of conflict of interest, and the need to display high levels of skill, care and diligence when acting in good faith to promote the success of the company.
Serving on a Board of Directors exposes individual members to joint and individual legal liabilities, not to mention reputational risk. As a result, anybody currently or potentially serving on – or supporting or reporting to – a Board of Directors needs to become familiar with the legal and regulatory context within which they do so.
By joining this seminar all pertinent questions will be answered, and participants will also have the chance to mingle and discuss with other Directors in the sector.

Demetris Nicolaou
Expert Trainer
Demetris Nicolaou is a Director of Leon Income Fund and Head of Business Development at Leon MFO Investments Ltd. Previously he was Executive Director and Portfolio Manager at Hanseatic Capital Management. He has also worked as the CFO of D. Nicolaou & Sons Ltd and at Alpha Bank Ltd as Head of Asset Management. He started his career in the USA at Emerging Markets Management as an Analyst and later Portfolio Manager. Demetris holds a Bachelor’s Degree in Finance and Economics and an MBA from the American University in Washington, DC. He is a CFA Charterholder and served on the board of CFA Society Cyprus as President. He holds CySEC’s Advanced Certificate and the Certificate in Company Direction from the Institute of Directors, UK. Demetris is a Certified Trainer by the Human Resource Development Authority (HRDA) with expertise in investments and related regulatory topics.
Petros Florides
Petros Florides has over 25 years of financial services experience in the areas of private banking, fund management, stockbroking, private equity, proprietary trading and microfinance. He is an Honours graduate in Accountancy and holds a number of professional qualifications, including: Chartered Director; Chartered Management Accountant; Chartered Fellow of the Chartered Institute for Securities & Investments ('CISI'); Certified Member and holder of the Governance Specialist Qualification of the Institute for Risk Management. He is currently employed by World Vision International as Senior Director of Global Governance for the regions of Europe, Middle East, Asia and Australasia. Petros has published numerous articles on governance and related areas, and was the lead author of the Code for Public Sector Governance which, after five years of public consultation, was approved by the Cyprus Council of Ministers in July 2019. Petros also serves as a Non-Executive Director - either as Char of the Board or Audit Committee - of companies within the industries of financial services, fintech and digital solutions. He has also served on the CISI Board of Trustees (UK) since June 2019, and is Co-Founder and Past-President of the CISI Cyprus National Advisory Council. Petros successfully completed: the Certified Sustainability (ESG) Practitioner Advanced Program (approved by the Chartered Management Institute) in 2021; and, the PRI Academy courses in Applied Responsible Investment and Responsible Investment for Trustees. In addition, Petros has represented the Cyprus Institute of Directors on various fora of the European Community Directors Association (‘ecoDa’). Petros is accredited in two different methods of psychometric testing that he uses to integrate an understanding of human behaviour in his teaching of professional and bespoke executive courses in the areas of governance, risk, leadership, sustainability and ethics through CISI Accredited Training Providers and other prestigious institutions. He is also a regular speaker and panelist at public events on the same subjects. Petros is also a founding member of the Advisory Council for the Centre for Good Governance."

The Human Resource Development Authority (HRDA) of Cyprus is a semi-government governmental organisation that supports the development of workforce skills through training and development initiatives. ERMIS is the online platform of the Human Resource Development Authority (HRDA) of Cyprus, used for managing training programme registrations, participant details, subsidy applications, and attendance records.
