This intensive course will cover all aspects of a loan transaction, concentrating particularly on the agreement itself and on the legal implications of a properly drafted and incorrectly drafted document.
Participants will be taken step-by-step through the process of documenting a loan, from the early stages of pre-contractual issues, letters of commitment and written offers, through to administrative provisions, representations, covenants, defaults, transfer provisions, guarantees and the eventuality of insolvency.
By attending this course, participants will fully understand the legal implications of a properly drafted and incorrectly drafted document.
Training Objectives
Theodoros Zafiropoulos is currently a partner in the Banking and Finance practice in a large global offshore law firm. He regularly acts for multilateral financial institutions, international and domestic banks, private equity funds and corporate borrowers in banking and corporate finance matters. Theodoros has extensive experience working with financial institutions and borrowers on restructuring and work-out arrangements, group refinancing transactions and monitoring problem loans. Theodoros also specialises in project finance and energy, advising international oil and gas companies, governments, national oil companies and lenders on major energy transactions. Theodoros also advises on intellectual property law in Cyprus. Theodoros is a member of the International Bar Association, the Association of International Petroleum Negotiators and the Hellenic Russian Chamber of Commerce, where he previously served on the board of directors before relocating to Cyprus.
