The training combines regulatory interpretation with practical application, ensuring participants gain both conceptual clarity and operational insight.

The seminar will dedicate significant time to analysing the full suite of risk-assessment approaches and risk-management tools that firms should apply when meeting their regulatory obligations.

Throughout the seminar, participants will work through the full prudential lifecycle—from the legal and regulatory foundations, through firm classification and capital requirements, to governance, internal controls, and risk-management expectations. Significant emphasis will be placed on the K-Factors methodology, Own Funds composition, the Fixed Overheads Requirement (FOR), and the governance obligations placed on Boards, Senior Management, and control functions. This includes methodologies for identifying and assessing all material risks, performing K-factor and capital-adequacy evaluations, managing liquidity and concentration risks, implementing robust operational-risk frameworks, and integrating stress-testing, scenario analysis, and recovery planning into the firm’s governance processes. The programme delivers  the methodologies of the ICARA, while also addressing the wider prudential risk-management framework that investment firms must operate under.

The programme also provides a structured, step-by-step exploration of the ICARA process, including harm identification, stress testing, capital and liquidity planning, wind-down analysis, and the preparation of the regulatory Form 165-03. Participants will examine quantitative and qualitative risk indicators, risk appetite design, and the management of key prudential risks—conduct, market, operational, liquidity, concentration, AML, ICT, and cyber.

In addition, the seminar incorporates discussion of emerging regulatory developments such as DORA, MiCA, ESG-related disclosures, outsourcing and ICT-risk expectations, and proposed amendments to the IFR. Through case studies, examples, and scenario-based exercises, attendees will gain practical exposure to the tools, methodologies, and supervisory expectations required to maintain a robust, forward-looking prudential risk-management framework.

    Course Overview

Due to the continuous technological changes, the complexity of ICT and security risks within financial institutions is increasing. Subsequently, the frequency of ICT and security-related incidents is rising which leads to a potentially significant negative impact on the operational functioning of financial institutions.

Therefore, to manage the vulnerability of financial institutions towards internal and external ICT risks, the EBA issued guidelines to establish how financial institutions should manage and mitigate the ICT risks they are exposed to which came into force in June 2020. In addition, the EBA guidelines aim to provide a better understanding of the supervisory expectations for the management of such risks covering sound internal governance, information security requirements, ICT operations, project and change management and business continuity management.

To enhance the framework for such risks, the EU adopted the Digital Operational Resilience Act (DORA), which aims to ensure the financial sector in Europe can stay resilient through any severe operational disruption.

This programme aims to provide an overview of the EBA Guidelines on ICT and security risk management as well as a brief overview of the DORA on the five main pillars that outline requirements and expectations for operational resilience.

Course Overview

Corporate governance is a system of direction and control that dictates how a board of directors governs and oversees a company.  It has proven to be a critical factor for any organisation, and even more so for financial institutions, affecting their sustainability, growth and overall development.

Financial regulation refers to the rules and laws firms operating in the financial industry, such as banks, credit unions, insurance companies, financial brokers and asset managers must follow. However financial regulation is more than just having rules in place – it’s also about the ongoing oversight and enforcement of these rules. State institutions and agencies are responsible for this oversight through monitoring and supervision of the financial sector, with the long-term aim of maintain the integrity and stability of the financial system,

The operational and regulatory environment for both financial institutions and directly correlated professionals like lawyers, accountants and auditors has never been tougher. All those professions and markets are co-ordinated and supervised by regulators to avoid market distortions and potential “chain reaction” deriving from a failure to handle them and treat them fairly and with professionalism.

Consequently, establishing an efficient Compliance function is crucial for organisations in the financial services industry. Given the increasingly complex regulatory framework,  being  compliant in the Financial Services sector has become a great challenge and a necessity that requires relevant expertise and a well-documented plan of action.

The Certificate in Governance, Financial Regulation and Compliance course will provide participants with an up-to-date understanding of the regulatory framework and financial regulation in Cyprus and its implications and applications to the financial services sector. The course also provides a detailed understanding of the theory and practice of regulation, corporate governance, corporate culture and compliance, and will give participants an ability to apply this knowledge to real life corporate problems. Recent trends and challenges such as those related with Environmental Social Governance (ESG) issues and sustainability are also covered.

    Course Overview

The purpose of this programme is to examine the various matters related to corporate mobility as inextricably linked to the freedom of establishment of legal persons, fundamentally enshrined in primary European Union law.

However, at the same time, corporate mobility is also imposed by modern cross border trading conditions largely due to the constant pursuit of the most favourable tax regime for the legal entity. The questions arising are therefore whether the transfer of the legal person’s seat is permitted and, if possible, whether such transfer can be achieved while continuing its legal personality. The answer to these questions raises private international law issues since the change of seat (real or legal) is linked to more than one legal order by definition. Hence, it is necessary to determine the law on the basis of which the answer to those questions will be given.

In this sense, In Cyprus, the enactment of rules on the cross-border transfer of a company’s “real” or “statutory” seat rests largely with national legislation, in the absence of EU harmonization, by laying down rules on the procedure to be followed aiming at the protection of creditors, shareholders and staff, as well as at combating abusive practices.
